Welcome to Vida! These Terms of Service ("Terms") govern your access to and use of the Vida platform, including our website at www.vidanow.io and our iOS mobile application (collectively, the "Service"), operated by VidaNow, Inc., a Delaware corporation ("Vida," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. These Terms constitute a legally binding agreement between you and VidaNow, Inc.

2. Description of Service

Vida is a platform that enables fans to verify their connections with creators and receive personalized experiences based on their authentic engagement data. Our Service creates verified connection profiles and enables creators to deliver personalized experiences to fans based on verified connection data across multiple platforms.

3. Eligibility

You must be at least 13 years old to use our Service. If you are under 18, you represent that you have obtained parental or guardian consent to use the Service. By using the Service, you represent and warrant that you meet these age requirements and have the legal capacity to enter into these Terms.

4. Account Registration and Security

4.1 Account Creation

To use certain features of our Service, you must create an account by providing:

  • Full name
  • Date of birth
  • State of residence

5. Prohibited Activities

You agree not to:

  • Submit false or misleading information about your connections or engagement
  • Use automated systems (bots, scripts, etc.) to manipulate your connection data
  • Harass, abuse, or harm other users
  • Upload, post, or transmit any content that is illegal, harmful, or violates others' rights
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
  • Use any robot, spider, or other automatic device to access the Service
  • Introduce any viruses, Trojan horses, worms, or other malicious material
  • Attempt to circumvent any content-filtering techniques we employ
  • Otherwise attempt to interfere with the proper working of the Service

6. Data Sharing and Privacy

6.1 Creator Data Sharing

We share fan data with creators only under the following conditions:

  • The fan appears on the creator's leaderboard (indicating verified engagement)
  • We do not share fan data with creators who have no engagement history with that fan

6.2 Public Information

Other users may view:

  • Your display name (full name or chosen username)
  • Your top creator connections

6.3 Privacy Policy

Our collection, use, and sharing of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Intellectual Property

7.1 Vida Content

The Service and its original content, features, and functionality are owned by VidaNow, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 User Content

You retain ownership of any content you provide to us. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display such content solely for the purpose of providing and improving the Service.

7.3 Third-Party Content

Data collected from third-party platforms remains subject to those platforms' terms of service and privacy policies.

8. Disclaimers and Limitation of Liability

8.1 Service Availability

We strive to maintain continuous Service availability but do not guarantee uninterrupted access. The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

8.2 Third-Party Platform Dependencies

Our Service depends on third-party platforms (Apple Music, YouTube, Instagram). We are not responsible for changes to these platforms that may affect our Service functionality.

8.3 Limitation of Liability

To the maximum extent permitted by law, VidaNow, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

9. Dispute Resolution and Arbitration

9.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

You agree that any arbitration shall be conducted in your individual capacity only and not as a class action or other representative action, and you expressly waive your right to file a class action or seek relief on a class basis.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

You may terminate your account at any time by contacting us or through account settings in the Service.

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or engage in conduct that we determine is harmful to the Service or other users.
